Terms and Conditions — Grace & Guardian eLearning Portal


Effective Date: 9 August 2025

Please read these Terms and Conditions ("Terms") carefully before using the Grace & Guardian eLearning Portal ("Portal"). By accessing or using the Portal, you agree to be bound by these Terms.

1) Definitions


  • "We", "us", "our": Grace and Guardian (Pty) Ltd.
  • "You", "your", "learner", "user": Any individual or entity accessing or using the Portal.
  • "Courses": Any training, modules, content, assessments, or materials offered through the Portal.
  • "Credentials": Your username, password, and any authentication details.

2) Eligibility and Account Registration


  • You must be 18 years or older, or have verifiable consent from a parent/guardian or employer, to enroll in Courses.
  • Provide accurate, current, and complete registration information and keep it updated.
  • You are responsible for maintaining the confidentiality of your Credentials and for all activities under your account. Notify us immediately of any unauthorized use.

3) Use of the Portal


  • Use the Portal solely for personal or organizational learning in accordance with these Terms and any Course-specific rules.
  • Do not circumvent access controls, share or resell access, upload malicious code, infringe intellectual property, or violate any law.
  • We may suspend or terminate access for violations of these Terms.


4) Course Enrollment, Delivery, and Outcomes


  • Course descriptions, outcomes, and schedules may be updated for quality improvement or compliance.
  • Completion may require attendance, assignments, practicals, and assessments; ensure you meet technical and participation requirements.
  • Certificates are issued upon meeting all Course criteria; accreditation and unit standards will be indicated where applicable and may change per regulator updates.

5) Fees, Payments, and Refunds


  • Fees are payable as listed on our invoices/portal at the time of enrollment; prices subject to change and applicable taxes.
  • Enrollment is confirmed only after payment is received and allocated.
  • Unless required by law or stated in a Course-specific policy:
    • Cancellations ≥7 days before start: refund less admin fee or reschedule/credit
    • Cancellations <7 days or no-shows: non-refundable
    • Digital content already accessed/downloaded: non-refundable
  • Employer/sponsor-funded learners: employer/sponsor is responsible for fees unless otherwise agreed.
  • Special refund/reschedule terms for regulatory/accreditation courses may apply and take precedence.

6) Learning Materials and Intellectual Property


  • All content and materials are owned by Grace & Guardian or our licensors and protected by intellectual property laws.
  • License: Limited, non-exclusive, non-transferable for personal learning during the Course; no reproduction or public display without consent.
  • Third-party content remains property of respective owners and may be subject to their terms.

7) Conduct, Academic Integrity, and Assessments


  • Complete assessments honestly and independently unless collaboration is expressly allowed.
  • Cheating, plagiarism, impersonation, or falsification of records is prohibited and may result in suspension, loss of certification, and reporting to relevant authorities/SETAs.
  • We may proctor assessments and verify identity and submitted work.

8) Technology, Access, and Availability


  • You are responsible for device, connectivity, and software needed to access the Portal.
  • We strive for high availability but do not guarantee uninterrupted or error-free operation; maintenance and updates may occur.
  • For practical or workplace-based learning, meet safety, PPE, and site requirements.

9) Privacy and Data Protection


  • We process personal information to deliver Courses, manage accounts, verify identity, issue certificates, and improve services.
  • Refer to our Privacy Notice and Cookie Policy for details on data collection, use, cookies, analytics, and your rights.
  • By using the Portal, you consent to such processing consistent with applicable laws.

10) Health and Safety; Food Safety Courses


  • For practical sessions (e.g., security drills, beauty services, food safety handling), follow all instructions and safety protocols.
  • Food Safety (R638) training provides guidance but does not replace your legal duties under R638 or other applicable regulations.

11) Compliance, Accreditation, and Regulatory Notices


  • We maintain relevant registrations/accreditations, including:
    • PSIRA: 2476507
    • SASSETA: 16199969245
    • LGSETA: LGRS-1535-161209
    • ETDP SETA: ETDPS01106
    • Services SETA: 13369
  • Accreditation scope and unit standards may evolve per SETA/authority decisions; material changes will be communicated.

12) Third-Party Services and Links


  • The Portal may include links or integrations (e.g., video platforms, payment gateways, analytics).
  • We do not control third-party services and are not responsible for their content, availability, or policies. Use may be subject to their terms.

13) Warranties and Disclaimers


  • Courses and materials are provided "as is" and "as available." We disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
  • We do not warrant that completing a Course will guarantee employment, promotion, or regulatory approval.

14) Limitation of Liability


  • To the maximum extent permitted by law, we will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or loss of profits, revenues, data, or goodwill.
  • Our total liability for any claim will not exceed the total fees paid by you for the specific Course giving rise to the claim.

15) Indemnity


  • You agree to indemnify and hold harmless Grace & Guardian, its directors, staff, and partners from claims, liabilities, damages, losses, and expenses arising from your use of the Portal, breach of these Terms, or violation of law or third-party rights.

16) Changes to Courses or Terms


  • We may modify Courses, schedules, or requirements to maintain quality, relevance, or compliance.
  • We may update these Terms; the updated version will be posted with a new Effective Date; continued use constitutes acceptance.

17) Suspension and Termination


  • We may suspend or terminate access for breach, non-payment, academic dishonesty, or misuse.
  • You may request account closure; certain obligations may survive termination.

18) Communication


  • We may contact you via the Portal, email, SMS, or phone regarding enrollment, assessments, certificates, updates, or compliance notices.
  • You may manage communication preferences where applicable.

19) Governing Law and Dispute Resolution


  • These Terms are governed by the laws of the Republic of South Africa.
  • Disputes will first be addressed through good faith negotiation; if unresolved, may be referred to mediation or arbitration in South Africa, unless otherwise required by applicable consumer law.
